Terms and Conditions

All quotations are made subject to the following Standard Terms and Conditions. Any order arising from our quotation, either in whole or in part, will be accepted on the basis of these terms and conditions in their entirety, unless other terms are agreed, in writing by us.


Client - the company or other person or organisation (Including agents) requiring goods and/or services from us.

Goods - Any products required by the customer including branded and specially manufactured items.

1.0 - DESIGN

1.1 - All drawings and designs submitted with estimates or quotations have been prepared on the basis of information made available by the customer.

1.2 - Drawings submitted with any estimates are not guaranteed with regard to final detail. We reserve the right to amend the design or specification.

1.3 - The client will be deemed to have applied for any consents, including landlords, planning, building regulations and the relevant E. H. O.


2.1 - Copyright in all drawings and designs and layouts belong to us, unless expressly agreed in writing with the client, upon which a design fee is payable.


3.1 - We select and recommend equipment to meet the clients requirements on the basis of information made available by the client.

3.2 - Warranties will be as issued by the equipment manufacturers, in addition to your statutory rights. In the event of equipment proving to be faulty during a warranty period, we will arrange for repair or replacement as we deem appropriate.

3.3 - Anticipated delivery is usually 8 week from receipt of official order and signed approval of any drawings. Delivery dates should be regarded as estimates only. Delivery may be suspended or revised due to circumstances beyond our control, including delay in manufacture or dispatch of the goods.

3.4 - Every effort will be made to dispatch goods at the earliest possible date, the client will have no automatic right to cancel orders on the grounds of delay. We shall not be under any liability to the client in respect of failure to deliver on any particular date or dates although every effort will be made to do so.

3.5 - Should goods be ready for delivery, in accordance with our original order and cannot be accepted by the client, they may be stored at our premises at the expense and risk of the client. Should delivery not be possible after one weeks delay,we will be entitled to submit our invoice for full payment to the client.

3.6 - We are responsible for delivery of the goods only to a designated point. It is the client's responsibility to check that goods arrive undamaged and a delivery note signed by the client will be requested. Any damage or other anomalies should be reported to us immediately upon receipt

3.7 - We would recommend that clients arrange suitable insurance cover for frozen food, as we cannot be held responsible for breakdown or malfunction of refrigeration equipment.


4.1 - Installation of equipment and the connecting of services brought to within one metre and terminated with an isolating device, can only be carried out on a clear, level site, during normal working hours, without hindrance from other trades, unless otherwise agreed in writing.

4.2 - If there is any requirement to position or install equipment in any area where other trades are working, this will only be undertaken after obtaining signed instructions, and any equipment installed shall be at the client's risk.

4.3 - All new services to be installed to within one metre of the isolators, valves etc as appropriate. We assume the use of plastic waste runs unless otherwise specified. The use of copper fittings will involve additional cost.

4.4 - We reserve the right to sub-contract parts or all of our works.

5.0 - EXCLUSIONS - (Unless separately specified).

5.1 - Making good of paintwork and or building work.

5.2 - Stripping out, disposing of or cleaning of existing equipment.

5.3 - No responsibility is accepted for the working condition of any equipment supplied by the client or any third party.

5.4 - Erecting of any scaffolding or other attendances.

5.5 - Provision of hoisting equipment or temporary work.

5.6 - Any loss or permissions relating to ventilation ducting installation.

5.7 - Final electrical connections to the ventilation system.


6.1 - Our quotations are open for acceptance for a period not exceeding 30 days from the issue date.

6.2 - All prices quoted are net and VAT is payable at the rate ruling at the time of invoicing.

6.3 - Standard payment terms are specified at time of quotation.

6.4 - Our quotation is based upon the assumption that the equipment specified will be ordered in its entirety. Should an order be placed for less than the full quotation we reserve the right to revise prices within the original quotation.

6.5 - Any variations or additional work not specified in this quotation will be invoiced separately

6.6 - Individual items of equipment may be invoiced separately upon delivery or programmed delivery to site. We reserve the right to require payment by installments for goods during the course of manufacture.

6.7 - We shall be entitled to charge interest at the rate of 2% above the base rate of Barclay's bank on late payment of invoices, interest shall be calculated daily.


7.1 - Title of goods shall not pass to the client until payments have been made in full. All risks pass on to the client from the time delivery is made.

7.2 - Failure to settle invoices will allow us to take possession of the goods. Legal remedies shall then be effected to recover any sums lost during the contract.

7.3 - In accepting our quotation the client shall hereby grant to us the irrevocable right and licence to enter upon any part of any premises to repossess such goods or property that have invoices issued that have not been settled in full.


8.1 - We will maintain public and product liability insurance with an indemnity limit of not less than 1 million pounds to cover death, injury, damage costs and charges arising out of negligence, acts or omission by us or any of our employees.

8.2 - We will pass on to clients the full benefit of indemnities obtained from sub-contractors.


9.1 - When necessary the client shall provide adequate and secure premises adjacent to the final place of installation for the storage of goods and materials.

9.2 - All goods and materials delivered to site, fixed or unfixed we at the sole risk of the customer and in the event of any theft, damage or destruction by whatever cause, we will be entitled to full payment for such items and for work damaged, destroyed or lost.

10.0 - GENERAL

10.1 - Cancellation of an order will be charged at a rate of 20% of the contract sum or the full on cost of equipment ordered from our manufacturers, together with the costs of any installations carried out to cancellation date, whichever is the higher.

10.2 - Any supply of goods or service under these Terms and Conditions shall be governed by English Law.

10.3 - We shall not be liable for any loss or damage caused by non performance or by delay in the performance of any of our obligations to the client due to the act of God, war, civil disturbance, government action, terrorist action, strike, lock-out or trade dispute, difficulties in obtaining materials, breakdown in machinery, fire or accidentor any other cause whatsoever beyond our control.
